Terms of Service - Optimize

1. Agreement to Terms

By accessing or using Optimize (“the Service”), operated by Optimize Software Pty Ltd (ACN 694 741 378), a company registered in Queensland, Australia, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Optimize provides a cloud-based enterprise resource planning (ERP) platform designed for logistics and manufacturing businesses. The Service includes order management, inventory tracking, production planning, and related business operations tools.

3. User Accounts

To use the Service, you must create an account. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Notify us immediately of any unauthorised access
Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorised access to any part of the Service
Interfere with or disrupt the Service or servers
Transmit any malicious code or harmful content
Resell or redistribute the Service without authorisation

5. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by Australian Consumer Law. Prices are listed in USD and exclude GST where applicable. We reserve the right to modify pricing with 30 days notice.

6. Data Ownership

You retain all rights to your data. We do not claim ownership of any content you submit to the Service. You grant us a limited licence to use your data solely for the purpose of providing the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Optimize Software Pty Ltd and is protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by Australian law, Optimize Software Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Termination

We may terminate or suspend your account at any time for violation of these terms. Upon termination, your right to use the Service will cease immediately. You may export your data within 30 days of termination.

10. Governing Law

These terms are governed by the laws of Queensland, Australia. Any disputes shall be resolved in the courts of Queensland, Australia.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.
